Terms of Service

These Terms of Service govern your access to and use of LAPS.executive, a software-as-a-service platform operated by LAPS.media ABN [TO BE INSERTED] ("LAPS", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. Please read them carefully.

Important — No Resale or Rebranding

LAPS.executive is licensed for your own business use only. You may not resell, sublicense, rebrand, or present this platform as a product you have built or own, regardless of your subscription plan. The white-label feature available on the Multiple Clients plan applies to exported PDF reports only. It does not extend to the platform, dashboard, or Bryan AI. Breach of this condition results in immediate account termination. See Clause 9 for full details.

Acceptance of Terms

By accessing or using LAPS.executive ("the Service"), you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms of Service ("Terms") and all applicable Australian laws and regulations.

If you are accessing the Service on behalf of a business or organisation, you represent and warrant that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

Description of Service

LAPS.executive is a cloud-based Intelligent Revenue System that aggregates business data from connected third-party platforms (including Meta Ads, Google Ads, WooCommerce, Shopify, and booking systems) into a unified executive dashboard, with AI-powered analysis and recommendations delivered via Bryan, an integrated AI adviser.

The Service is offered under the following subscription tiers:

  • Single Business: one business, full platform access, Bryan AI Adviser, PDF report export
  • Multiple Clients: unlimited client profiles, white-label report export, client-level Bryan context, priority support
  • Sales Framework: custom scope, CRM integrations, dedicated onboarding, direct LAPS team access

Features and pricing may be updated from time to time. Current pricing is displayed at executive.laps.media and is denominated in Australian Dollars (AUD) inclusive of GST where applicable.

Account Registration

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at hello@laps.media if you become aware of any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used in a manner inconsistent with the intended purpose of the Service.

Free Trial

LAPS.executive offers a 14-day free trial with full platform access and no credit card required at signup. The trial begins on the date your account is activated.

At the end of the trial period, continued access to the Service requires selection of a paid subscription plan. If you do not subscribe, your account will be downgraded and access to connected data, reports, and Bryan AI will be suspended.

Trial data retention: Your connected integrations and generated reports are retained for 30 days after trial expiry. If you subscribe within that period, all data is immediately restored.

We reserve the right to modify or discontinue the free trial offer at any time without notice.

Billing and Payment

Subscription fees are billed weekly in advance in Australian Dollars (AUD). By providing payment details, you authorise LAPS.media to charge the applicable subscription fee on a recurring weekly basis.

All prices displayed are inclusive of GST where applicable under the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Payment is processed via Stripe. LAPS.media does not store your full payment card details. By subscribing, you also agree to Stripe's terms of service.

  • Subscription fees are non-refundable except as required by Australian Consumer Law
  • Failed payments will result in a 72-hour grace period before account suspension
  • You are responsible for all taxes applicable in your jurisdiction beyond Australian GST

We reserve the right to change subscription pricing with 30 days written notice to your registered email address. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain full access to the Service until that date.

We do not offer pro-rata refunds for partial billing periods except where required by Australian Consumer Law or where LAPS.media has materially failed to deliver the Service as described.

To request a refund under Australian Consumer Law grounds, contact hello@laps.media with your account details and the reason for the request. We will respond within 5 business days.

Acceptable Use Policy

You agree to use the Service only for lawful business purposes and in compliance with these Terms. You must not use the Service in any way that:

  • Violates any applicable Australian federal, state, or territory law or regulation
  • Infringes the intellectual property rights of LAPS.media or any third party
  • Introduces malware, viruses, or any other harmful code into the platform
  • Attempts to gain unauthorised access to any part of the Service or its infrastructure
  • Uses automated tools to scrape, extract, or harvest data from the Service
  • Circumvents, disables, or interferes with security features of the Service
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity

Prohibited Conduct

The following conduct is strictly prohibited and constitutes grounds for immediate account termination without refund:

  • Sharing account credentials with individuals outside your authorised team
  • Connecting third-party accounts for which you do not have authorised access
  • Using the Service to engage in deceptive, fraudulent, or misleading conduct under the Australian Consumer Law
  • Using Bryan AI outputs as financial, legal, or investment advice without independent professional verification
  • Reverse engineering, decompiling, or disassembling any component of the Service

No Resale or White-labelling of the Platform

Your subscription grants you a personal, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your own internal business purposes.

You must not, under any circumstances: resell, sublicense, redistribute, or otherwise make the Service available to third parties as if it were your own product. You must not represent LAPS.executive as a platform you have built, own, or operate. You must not white-label, rebrand, or otherwise obscure the LAPS.executive identity at the platform level.

This restriction applies regardless of your subscription tier. The white-label feature included in the Multiple Clients plan applies exclusively to exported PDF reports sent to your clients. It does not extend to the platform itself, the dashboard interface, the Bryan AI adviser, or any other component of the Service.

All exported reports and platform interfaces will display "Powered by LAPS.executive" as a persistent attribution, which must not be removed, obscured, or modified.

For agencies: You are permitted and encouraged to reference LAPS.executive as the intelligence platform you use to manage your clients. Transparent use of the platform as part of your service offering is entirely consistent with these Terms. What is prohibited is representing the platform as a product you have built or own.

Breach of this clause will result in immediate suspension of all associated accounts, forfeiture of any remaining subscription period, and may give rise to claims for damages and injunctive relief under Australian intellectual property and consumer protection law.

Intellectual Property

The Service, including all software, design, algorithms, AI models, interfaces, text, graphics, and branding, is the exclusive intellectual property of LAPS.media and is protected under Australian copyright law, the Copyright Act 1968 (Cth), and applicable international treaties.

Nothing in these Terms transfers any intellectual property rights to you. Your subscription grants you a limited licence to use the Service as described. All rights not expressly granted are reserved by LAPS.media.

You retain full ownership of your business data and the data you connect to the Service via third-party integrations. You grant LAPS.media a limited licence to process that data solely for the purpose of providing the Service to you.

Data and Privacy

LAPS.media collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Our Privacy Policy sets out in detail how we collect, use, store, and disclose personal information.

Third-party platform credentials connected to the Service (such as Meta Ads, Google Ads, and WooCommerce tokens) are encrypted at rest using AES-256 encryption and are never exposed to the frontend interface or shared with third parties outside of the operational requirements of the Service.

You are responsible for ensuring that any data you connect to or process through the Service complies with applicable privacy laws, including obtaining any necessary consents from your clients if you are using the Multiple Clients plan to process their data.

LAPS.media will not sell your data or your clients' data to third parties.

Third-Party Integrations

The Service connects to third-party platforms including but not limited to Meta, Google, Shopify, and WooCommerce via OAuth 2.0 authorisation flows. By connecting a third-party account, you represent that you have the right to grant the Service access to that account.

LAPS.media is not affiliated with, endorsed by, or in any way officially connected to these third-party platforms. The availability of any integration is subject to the ongoing availability of the respective third-party API and may change without notice.

We are not responsible for any interruption to the Service caused by changes, outages, or deprecation of third-party APIs. We will use reasonable efforts to maintain integrations and communicate material changes in advance.

Service Availability

We aim to provide a reliable Service but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where practicable. We are not liable for any loss or damage arising from Service unavailability.

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, beyond those which cannot be excluded under Australian Consumer Law.

Limitation of Liability

To the maximum extent permitted by law, LAPS.media's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the total subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

LAPS.media is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Bryan AI provides analysis and recommendations based on the data you connect. Outputs from Bryan AI do not constitute financial, legal, investment, or professional advice. You are solely responsible for decisions made based on Bryan's outputs and should obtain independent professional advice where appropriate.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited.

Where the Australian Consumer Law applies, our liability for failure to comply with a consumer guarantee is limited, to the extent permitted by law, to re-supplying the service or paying the cost of having the service re-supplied.

If you are a consumer under the Australian Consumer Law and the Service fails to meet a consumer guarantee, you may be entitled to a remedy. Contact us at hello@laps.media to raise a consumer guarantee claim.

Termination

You may terminate your account at any time by cancelling your subscription via account settings or by contacting hello@laps.media.

LAPS.media may suspend or terminate your access to the Service immediately and without notice if:

  • You breach any provision of these Terms, particularly Clauses 7, 8, or 9
  • We are required to do so by law or a regulatory authority
  • Your account is used in a fraudulent or abusive manner
  • Continued provision of the Service to you creates risk or liability for LAPS.media or its other users

Upon termination, your licence to use the Service ceases immediately. Your data will be retained for 30 days following termination and then permanently deleted, unless you request earlier deletion or we are required by law to retain it.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to your registered address and display a notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.

Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute by good-faith negotiation for a period of 30 days. If the dispute is not resolved within that period, either party may pursue available legal remedies.

For disputes involving amounts under A$10,000, the parties agree to consider resolution via the Australian Small Business and Family Enterprise Ombudsman or a comparable low-cost dispute resolution service.
